ARTICLE 1 – Champ d'application
Les présentes Conditions Générales de Prestation de Service (ci-après les « Conditions ») s’appliquent à toute personne morale, utilisant les services proposés par le Site www.izyshow.com édité par la société IZYSHOW, SAS au capital de 100euros, dont le siège social est situé 30 rue de Torcy 75018 PARIS, immatriculée au Registre du Commerce et des Sociétés sous le numéro 880 118 328, téléphone : _0661872180 ; courriel ___contact@izyshow.com (ci-après la « Société IZYSHOW »).
Les Services proposés par IZYSHOW par l’intermédiaire du Site ne s’adressent qu’aux personnes agissant dans le cadre de leur activité commerciale, libérale ou artisanale à des fins professionnelles, qui agissent dans le cadre de leur activité professionnelle. En utilisant les Services proposés par le Site, l’Utilisateur reconnaît contracter en qualité de professionnel. La personne physique qui utilise les Services certifie avoir toute capacité à engager la personne morale qu’elle représente.
Les présentes Conditions constituent le socle unique de la négociation commerciale.
Toute utilisation du Site implique l'adhésion sans réserve aux présentes Conditions qui prévalent sur toutes les autres conditions, sauf stipulation contraire convenue entre les parties.
Les renseignements figurant sur le Site internet accessible à l’adresse www.izyshow.fr, sont donnés à titre indicatif et sont révisables à tout moment.
ARTICLE 2 – Définitions
« Site » désigne le site accessible à l’adresse www.izyshow.fr ou www.izyshow.com
« Service » désigne le ou les services proposés par le Site.
« Utilisateur » désigne tout visiteur du Site, en ce compris les Membres.
« Annonce » désigne une offre de prestation de service mise en ligne par l’Annonceur incluant la mise à disposition d’un lieu de répétition et de matériel à destination de Compagnie ainsi que des services assimilés.
« Membre » désigne toute personne morale inscrite sur le Site par le biais d’un compte virtuel, en ce compris les Annonceurs et la Compagnie.
« Annonceur » désigne tout Membre déposant sur le Site une Annonce à destination de la Compagnie. Il est précisé que l’Annonceur s’engage à être propriétaire, gérant, ou disposer de toute autorisation nécessaire à la mise à disposition de lieu lequel doit être habilité à la réception de personnes.
« Compagnie » désigne tout Membre qui accepte une Annonce.
« Prestations » désigne l’ensemble des prestations prévues dans l’Annonce à savoir, la mise à disposition du lieu de répétition, de matériel et des services assimilés.
ARTICLE 3 – Présentation du Service
Le Service est une plateforme numérique ayant vocation à mettre en relation des Annonceurs et des Compagnies en vue d’organiser entre eux des Prestations portant notamment sur la mise à disposition d’un lieu de répétition et de matériel nécessaire à ce titre.
La société IZYSHOW agit en simple qualité d’hébergeur d’Annonces publiées sur le Site, elle est donc tierce à la relation contractuelle qui se créée entre l’Annonceur et la Compagnie. Aucune obligation ou aucune responsabilité ne saurait être mise à la charge de la société IZYSHOW concernant la relation créée entre l’Annonceur et la Compagnie.
En particulier, la société IZYSHOW ne garantit aucunement la légalité des Annonces, l’exactitude des descriptions des Annonces, les notations des Membres et commentaires laissés par les Membres, l’identité des Membres.
Toute personne constatant la présence d’un contenu raciste, violent, outrager, insultant, discriminatoire, misogyne ou incitant à la haine doit les porter à la connaissance de la société IZYSHOW qui prendra les mesures nécessaires pour faire cesser le trouble.
ARTICLE 4 – Conditions d’accès au Service
Le Service ne s’adresse qu’à des personnes morales agissant dans le cadre de leur activité professionnelle, commerciale ou artisanale.
Le Service proposé par IZYSHOW est uniquement accessible via le Site dont l’accès est gratuit. Le Site est accessible à partir des navigateurs Chrome et Mozilla. Il est noté que les coûts de la connexion Internet, nécessaire à l’accessibilité du Site, restent à la charge de l’Utilisateur.
La société IZYSHOW s’engage à mettre en œuvre tous les moyens possibles afin de permettre aux Utilisateurs, en ce compris les Membres d’accéder au Site sept (7) jours sur sept (7), vingt-quatre (24) heures sur vingt-quatre (24).
Toutefois, la société IZYSHOW se réserve le droit de modifier ou d’interrompre, à son entière discrétion, de manière temporaire ou permanente, tout ou partie de l’accès au Site, notamment pour des raisons de maintenance du Site.
ARTICLE 5 – Présentation du Service
1. Création du compte
Afin d’accéder au Service et notamment déposer ou répondre à une Annonce, l’Utilisateur doit créer un compte Membre.
L’Utilisateur à l’origine de la création du compte Membre certifie avoir qualité pour engager la personne morale.
Le Membre certifie que l’ensemble des informations communiquées lors de la création du compte sont exactes, complète et à jour. La création de compte est soumise à l’identification précise de la personne morale, notamment par son numéro SIREN.
Il est strictement interdit de créer un compte sous l’identité d’une société tierce ou sous une fausse identité.
Le Membre est seul responsable de toute activité menée depuis son compte Membre et s’assure que ses identifiants et mot de passes lui sont personnels et secrets.
Une fois le compte Membre créé, le Membre peut déposer une Annonce (il sera alors désigné sous le terme Annonceur) ou y répondre (il sera alors désigné sous le terme Compagnie).
2. Dépôt d’une Annonce
Lorsque l’Annonceur décide de déposer une Annonce, l’ensemble des informations relative aux Prestations est transmise par l’Annonceur qui en est seul responsable.
L’Annonceur communique notamment :
- la désignation du lieu et son adresse,
- le matériel fournit,
- la nature des services associés,
- les dates et heures de disponibilités,
- le prix des Prestations
Une fois l’ensemble des éléments validés par l’Annonceur et le mode de réservation choisi en considération des options décrites à l’article 5.4, l’Annonce est publiée sur le Site.
3. Réservation
Dès sa publication sur le Site, l’Annonce est accessible par tout Utilisateur.
L’Utilisateur doit, pour effectuer une réservation, créer un compte et devenir Membre.
Afin d’effectuer la réservation, la Compagnie effectue le paiement par avance de l’ensemble du prix indiqué dans l’Annonce augmenté des frais de service de la société IZYSHOW.
En fonction de l’option relative au mode de réservation choisie par l’Annonceur et indiqué dans l’Annonce :
- Acceptation automatique de l’Annonceur : La réservation est effectuée dès le paiement par la Compagnie du prix prévu dans l’Annonce augmenté des frais de service de la société IZYSHOW.
- Acceptation soumise à validation de l’Annonceur : La réservation est soumise à la validation par l’Annonceur de la demande de réservation effectuée par la Compagnie.
Dans cette deuxième hypothèse, l’Annonceur dispose d’un délai de quatre (4) heures pour accepter la demande de réservation effectuée par la Compagnie. A l’expiration de ce délai, à défaut de réponse de l’Annonceur, la Compagnie recouvre la possibilité de maintenir ou non sa demande de réservation. Si la demande de réservation n’est pas validée par l’Annonceur, l’ensemble de la somme versée par la Compagnie lui est restituée sous 24 heures.
En fonction du mode de réservation choisi par l’Annonceur et précédemment exposé, la Compagnie reçoit, à réception du paiement par IZYSHOW, un courriel de confirmation de la réservation ou de la demande de confirmation de réservation transmise à l’Annonceur.
La relation contractuelle qui lie l’Annonceur et la Compagnie est matérialisée par le Contrat de prestation de service accepté par l’Annonceur et la Compagnie au moment de la réservation.
Il est précisé que la société IZYSHOW n’est pas partie à cette relation contractuelle et que son rôle se limite à l’intermédiation entre l’Annonceur et la Compagnie.
4. Modification ou annulation de la réservation
L’Annonceur s’interdit d’effectuer toute modification de l’Annonce une fois qu’une demande de réservation a été effectuée ou une réservation a été confirmée.
Si un Annonceur annule une réservation confirmée, la Compagnie sera intégralement remboursée du montant de la réservation, en ce compris le prix prévu dans l’Annonce augmenté des frais de service de la société IZYSHOW.
Le Site pourra, à sa discrétion, prendre toute mesure qu’il jugera utile afin de sanctionner l’Annonceur. Le Site se réserve le droit, en l’absence de justification légitime de la part de l’Annonceur, de publier un commentaire sur le compte du Membre Annonceur visible par tous les Membres, ou de prendre des mesures de blocage partiel ou de suppression de compte du Membre.
Par ailleurs, la société IZYSHOW se réserve le droit de facturer les frais de service du Service IZYSHOW initialement réglé par la Compagnie auprès de l’Annonceur.
La Compagnie peut à tout moment annuler une réservation confirmée, sous réserve des conditions d’annulation de l’Annonce définies par l’Annonceur.
ARTICLE 6 – Obligations de l’Annonceur
L’Annonceur garantit disposer de l’ensemble des autorisations requises pour mettre à disposition le lieu, les matériels et effectuer ou faire effectuer les Prestations décrites dans l’Annonce. Il déclare à ce titre être propriétaire, gérant ou disposer de toute autorisation relative à la mise à disposition du lieu. Il déclare avoir veillé à ce que la mise à disposition du lieu ne soit contraire à aucune règlementation ou législation à laquelle il serait soumis et notamment au règlement de copropriété.
L’Annonceur déclare avoir souscrit l’ensemble des assurances nécessaires à la réalisation des Prestations.
L’Annonceur s’engage à porter à la connaissance de la Compagnie tout règlement intérieur, plan de sécurité et d’évacuation ou tout autre document utile.
L’Annonceur reconnait être seul redevable de l’ensemble des charges ou taxes de toute nature relative aux Prestations.
L’Annonceur s’engage à effectuer toute déclaration de revenus relatifs aux Prestations et se conformer aux lois et règlements qui lui sont applicable, notamment en matière fiscale.
L’Annonceur s’assure que l’ensemble des Prestations ne contrevient pas aux bonnes mœurs.
L’Annonceur est seul responsable du contenu de l’Annonce, des Prestations réalisées ainsi que du prix sollicité. Dans le cas où l’Annonce porterait atteinte aux droits d’un tiers, à quelque titre que ce soit, l’Annonceur sera seul reconnu responsable.
L’Annonceur s’engage à ce que l’ensemble des informations transmises soient complètes et exactes, notamment en ce qui concerne le lieu, le matériel et les prestations comprises. Il s’engage également à informer la Compagnie de l’ensemble des restrictions apportées au lieu, au matériel ou aux prestations décrites dans l’Annonce.
Les photographies et la description des Prestations contenues dans l’Annonce doivent refléter la réalité des Prestations. L’Annonceur s’engage à disposer de l’ensemble des droits de propriété intellectuelle sur les contenus publiés dans l’Annonce.
L’Annonceur s’engage à renseigner les disponibilités du lieu et à veiller à ce qu’elles soient tenues à jour.
L’Annonceur s’engage à organiser la mise à disposition du lieu et des matériels avec la Compagnie au dates et heures convenues dans l’Annonce.
L’Annonceur fixe seul le prix des Prestations et les conditions d’annulation qui ne sauraient être contraires à celles fixées à l’article 8.
ARTICLE 7 – Obligation de la Compagnie
La demande de réservation effectuée par la Compagnie est soumise au paiement de l’intégralité du prix déterminé dans l’Annonce lequel comprend à la fois le paiement des Prestations de l’Annonceur mais également les frais de services de la société IZYSHOW tel que défini à l’article 8.
La Compagnie s’engage à se conformer à toute exigence portée dans l’Annonce, tout règlement intérieur porté à sa connaissance par l’Annonceur ainsi que plus généralement à se conformer à toute règlementation ou législation applicable notamment eu égard aux troubles anormaux de voisinage.
La Compagnie s’engage à utiliser les matériels conformément à leur usage et conditions d’utilisation.
La Compagnie s’engage à se rendre au lieu mis à disposition conformément aux modalités prévues dans l’Annonce, étant précisé qu’à défaut d’accord contraire, tout retard de la Compagnie entrainera l’annulation de la réservation à ses frais.
La Compagnie s’engage à rendre le lieu mis à disposition dans l’état où elle l’a trouvé, aux dates et heures convenues dans l’Annonce.
La Compagnie est tenue de fournir une attestation d'assurance responsabilité civile professionnelle valide couvrant les activités exercées dans les espaces de répétition proposés sur la plateforme IZYSHOW.
IZYSHOW se réserve le droit de vérifier la validité de l'attestation d'assurance et peut suspendre ou supprimer les annonces des utilisateurs qui ne sont pas en conformité avec cette exigence.
ARTICLE 8 – Prix et modalités de règlement par la Compagnie
Le prix est composé du montant des Prestations de l’Annonceur mais également les frais de services de la société IZYSHOW.
L’Annonceur fixe seul, et sous son entière responsabilité, le montant des Prestations.
Les frais de Service IZYSHOW sont fixés à dix pour cent (10%) du montant hors taxes du prix des Prestations tel que fixé par l’Annonceur.
Le prix est affiche sur l’Annonce et s'entend nets et TTC
Lors de la réservation des Prestations effectuée par la Compagnie sur le Site, la Compagnie procède au paiement en ligne du montant du prix des Prestations tels que fixé par l’Annonceur ainsi que des frais relatifs au Service IZYSHOW.
Le paiement est effectué par les moyens suivants : moyens de paiement proposés par le site www.stripe.fr
Le paiement du prix par la Compagnie donnera lieu à l’établissement d’une facture par la société IZYSHOW, laquelle sera adressée par courriel à la Compagnie dans les plus brefs délais.
En cas de remboursement dans les conditions prévues à l’article 5.4, le montant remboursé sera versé suivant le mode de paiement initialement utilisé par la Compagnie.
ARTICLE 9 – Rétrocession des sommes auprès de l’Annonceur
L’Annonceur établit une facture à l’attention de la société IZYSHOW égale au montant de la Prestation.
La facture est réglée par la société IZYSHOW à la fin du mois suivant la réalisation des Prestations.
Le paiement est effectué par les moyens suivants : virement sur compte bancaire.
Le montant des frais de services réglés par la Compagnie demeure acquis à la société IZYSHOW notamment au titre de ses services d’intermédiation.
Dans l’hypothèse d’une annulation fautive de l’Annonceur de la réservation confirmée telle que prévue à l’article 5 :
- L’Annonceur ne pourra pas facturer les Prestations à la société IZYSHOW ;
- Pa railleurs, la société IZYSHOW se réserve le droit de facturer les frais de service du Service IZYSHOW initialement réglé par la Compagnie auprès de l’Annonceur.
En cas de retard de paiement et de versement des sommes dues par l’Annonceur, après la date de paiement figurant sur la facture adressée à celui-ci, des pénalités de retard calculées au taux de _15% du montant TTC du prix figurant sur ladite facture, seront automatiquement et de plein droit acquises à la société IZYSHOW, sans formalité aucune ni mise en demeure préalable.
Le retard de paiement entraînera l'exigibilité immédiate de la totalité des sommes dues à la société IZYSHOW par l’Annonceur, sans préjudice de toute autre action que la société IZYSHOW serait en droit d'intenter, à ce titre, à l’encontre de l’Annonceur.

ARTICLE 12 – Responsabilité
1. Responsabilité en cas de mauvaise exécution du contrat entre l’Annonceur et la Compagnie
La société IZYSHOW propose le Service en qualité d’hébergeur et n’est aucunement partie de la relation contractuelle qui se forme entre l’Annonceur et la Compagnie.
L’absence d’exécution ou la mauvaise exécution du contrat formé par l’Annonceur et la Compagnie ne relève pas de la responsabilité de la société IZYSHOW et les conséquences induites par des manquements avérés devront être réglées directement entre eux.
L’Annonceur et la Compagnie sont donc seuls responsables des dommages et préjudices directs ou indirects, matériels ou immatériels intervenus entre eux ou avec un tiers dans l’exécution du contrat qui les lie.
2. Consultation et utilisation du Site
La consultation et l’utilisation du Site se font sous la seule et unique responsabilité des Utilisateurs.
Le Site contient des liens vers des sites tiers dont la société IZYSHOW ne peut garantir le contenu, ce que l’Utilisateur reconnaît et accepte. L’accès à ces sites tiers est opéré sous la seule responsabilité de l’Utilisateur, ce qui implique que la responsabilité de la société IZYSHOW ne saurait être recherchée en cas de dommages résultant de l’accès et/ou de l’utilisation de ces sites tiers.
ARTICLE 13 – Limitation d’accès et suspension de comptes Membres
En cas de violation par un Membre, notamment des obligations mentionnées aux articles XXX et XXX, ou si la société IZYSHOW estime que sa sécurité et son intégrité, celles des Membres ou des tiers, sont menacées, celle-ci se réserve la possibilité, à son entière discrétion, de recourir aux mesures ci-après énoncées, lesquelles mesures peuvent être cumulatives :
(a) Empêcher la publication de tout contenu sur le Site (Annonces, commentaires…) ;
(b) Suspendre de façon temporaire le compte de Membres ;
(c) Supprimer définitivement le compte du Membre défaillant.
La société IZYSHOW informera dans les meilleurs délais Membre concerné de la mise en place de l’une quelconque de ces mesures.
ARTICLE 14 – Droit de propriété intellectuelle
Contenus de l’Annonce
Le Membre est seul responsable du contenu de l’Annonce et s’assure disposer des droits de propriété intellectuelle et droit à l’image des éventuelles présentes sur les photographies illustrant l’Annonce.
« IZYSHOW » est une marque déposée.
Les textes, images, et représentations figurant sur le Site sont protégés par le droit de la propriété intellectuelle et sont la propriété exclusive de la société IZYSHOW.
La reproduction, l’imitation ou la représentation totale ou partielle des droits de propriété intellectuelle de la société IZYSHOW est susceptible de constituer une contrefaçon sanctionnée par les dispositions du Code de la Propriété Intellectuelle et/ou une faute délictuelle de nature à engager la responsabilité civile de ses auteurs.
Chaque Utilisateur s’engage à ne pas porter atteinte, directement ou indirectement aux droits détenus par la société IZYSHOW et s’interdit à ce titre notamment de procéder à :
- Toute utilisation du Site aux fins de conception, réalisation, de diffusion ou de commercialisation de services similaires, équivalents ou de substitution,
- Toute adaptation, modification, transformation, arrangement du Site, y compris dans le but de corriger un dysfonctionnement,
- Toute décompilation, ingénierie inverse ou désassemblage du Site, totale ou partielle,
- Toute cession, transfert, location, total ou partiel, à titre onéreux ou gratuit, du Site ou du droit d’utilisation ci-dessus concédé,
- Toute transcription direct ou indirecte, toute traduction du Site,
- Toute modification ou contournement du code de protection tel que notamment, les codes d’accès ou identifiant.
ARTICLE 15 – Données personnelles
En application de la loi 78-17 du 6 janvier 1978 et du Règlement européen sur la protection des données n°2016/679, il est rappelé que les données personnelles des Membres qui sont traitées par la société IZYSHOW sont nécessaires à la gestion du Site et au bon fonctionnement du Service IZYSHOW.
Les données des Membres sont conservées par la société IZYSHOW pendant la durée de conservation nécessaire à la gestion de la relation commerciale à l'exception de celles nécessaires à l'établissement de la preuve d'un droit ou d'un contrat qui peuvent être archivés conformément aux dispositions du Code de commerce relatives à la durée de conservation des livres et documents créés à l'occasion d'activités commerciales et du Code de la consommation relatives à la conservation des contrats conclus par voie électronique, à savoir 10 ans.
Les données personnelles traitées sont destinées aux personnes habilitées du Service IZYSHOW et à leurs supérieurs hiérarchiques.
Certaines données personnelles strictement nécessaires à l’exercice du Service IZYSHOW sont transmises entre l’Annonceur et la Compagnie.
La société IZYSHOW met en œuvre des mesures organisationnelles, techniques, logicielles et physiques en matière de sécurité du numérique pour protéger les données personnelles des Membres contre les altérations, destructions et accès non autorisés. Toutefois, il est à signaler qu’Internet n’est pas un environnement complètement sécurisé et la société IZYSHOW ne peut pas garantir la sécurité de la transmission ou du stockage des informations sur Internet.
Les Membres sont informés que les données personnelles sont susceptibles d’être transférées hors de l’Union Européenne par des sociétés intervenant comme sous-traitantes. Cependant, les Etats destinataires des données personnelles font l’objet d’une décision d’adéquation de la CNIL ou, lorsqu’une telle décision n’est pas intervenue, la société IZYSHOW imposera à son sous-traitant des garanties similaires.
En application de la réglementation applicable aux données à caractère personnel, les Membres disposent d’un droit d’accès, de rectification, d’effacement, d’interrogation, de limitation, de portabilité, d’opposition au traitement des données le concernant et peut également donner des directives relatives au sort de ses données à caractère personnel après son décès.
Le Membre peut bénéficier de l’exercice de ces droits en écrivant à l’adresse suivante : _contact@izyshow.com_ ou à l’adresse électronique suivante : _ contact@izyshow.com _, sous réserve le cas échéant de la justification de l’identité de la personne.
Le Membre est avisé qu’il dispose du droit d'introduire une réclamation auprès d'une autorité de contrôle.
Le présent article est complété par la Politique de Confidentialité du Site.
ARTICLE 16 – Force majeure
En cas de survenance d’un événement de force majeure, au sens de l’article 1218 du Code civil, aucune des parties ne pourra être tenue pour responsable envers l’autre du préjudice causé par un retard ou un défaut d’exécution des engagements lui incombant si cette exécution a été suspendue ou rendue impossible par la survenance d'un cas de force majeure.
ARTICLE 17 – Loi applicable – Attribution de juridiction
La société IZYSHOW ne pourra être tenue responsable des dommages de toute nature, qui pourraient résulter d’une inexécution ou une mauvaise exécution des présentes Conditions par un Utilisateur, d’un fait imprévisible ou insurmontable d’un tiers, ou d’un évènement de force majeure revêtant les caractères habituellement retenus par la loi et la jurisprudence française.
Les présentes Conditions Générales sont régies par le droit français.
En cas de litige, l’Utilisateur s’engage préalablement à toute action contentieuse à contacter le service IZYSHOW, afin de procéder à une tentative de règlement amiable dudit litige.
Tous les litiges auxquels le présent contrat et les accords qui en découlent pourraient donner lieu, concernant tant leur validité, leur interprétation, leur exécution, leur résolution, leurs conséquences et leurs suites seront soumis au tribunal de commerce de Paris
